PUBLIC OFFER FOR USE OF THE MOVIGO ONLINE SERVICE

Effective date: 22 June 2026

This Public Offer (“Offer”) sets out the terms and conditions under which Movigo provides access to the Movigo online service available at movigo.me and related web pages, tools and interfaces (“Service”).

By accessing the Service, creating an account, submitting information, using any calculator, viewing any estimate, or otherwise using the Service, you (“User”, “you”) accept this Offer in full. If you do not agree with this Offer, you must not use the Service.

1. Status of this Offer

1.1. This Offer is a public offer addressed to users located in Pakistan or using the Service in connection with transportation services in Pakistan.

1.2. Acceptance of this Offer is made electronically by any of the following actions:

creating or accessing an account;

clicking “Sign up”, “Continue”, “Calculate”, “Create service”, “Submit”, or any similar button;

entering route, pricing, passenger, stop, vehicle or company data into the Service;

using any calculator, estimate, dashboard, report or other functionality of the Service.

1.3. Upon acceptance, this Offer forms a binding agreement between you and the Company.

2. Service Description

2.1. Movigo is an online informational tool designed to help transportation providers, companies and related users simplify preliminary calculations, route planning and internal evaluation of transportation services.

2.2. The Service may include, among other things:

route and distance-based calculation tools;

transportation cost estimators;

passenger, stop and route inputs;

dashboards and informational summaries;

draft monthly service planning tools;

other informational features related to corporate transportation.

2.3. The Service is provided for informational and convenience purposes only. It does not constitute a transportation service, dispatch service, mobility platform, brokerage service, financial service, accounting service, legal service, tax service, or professional advisory service.

3. Free Use

3.1. The Service is currently provided free of charge.

3.2. The Company does not charge Users any subscription fee, commission, service fee or other payment for access to the current version of the Service.

3.3. The Company may introduce paid features, subscriptions or commercial services in the future. Any such change will apply only after publication of updated terms or separate commercial terms.

4. Informational Nature of Calculations

4.1. All calculations, estimates, prices, distances, travel times, recommendations, reports and other outputs generated by the Service are approximate and informational only.

4.2. The Service may use formulas, assumptions, tariff parameters, map data, user-entered data, third-party APIs or other sources. Such data may be incomplete, outdated, inaccurate or unavailable.

4.3. The Company does not warrant that any calculation or estimate:

is accurate, complete or up to date;

reflects actual market prices;

reflects actual transportation costs;

reflects tax, legal, regulatory, operational or contractual requirements;

can be used as a final commercial offer, invoice, quotation or binding price.

4.4. Users are solely responsible for verifying all calculations, assumptions, routes, distances, costs, tariffs, taxes, regulatory requirements and commercial decisions before relying on them.

5. No Transportation Services

5.1. The Company does not provide transportation, passenger carriage, shuttle, taxi, bus, chauffeur, logistics or dispatch services through the Service.

5.2. The Company does not operate vehicles, employ drivers, assign drivers, accept ride orders, transport passengers, manage fleets or guarantee availability of vehicles.

5.3. Any actual transportation services must be arranged separately by the User or third-party transportation providers. The Company is not a party to such arrangements unless expressly agreed in a separate written agreement.

6. No Professional Advice

6.1. The Service and all outputs generated by it are not intended to constitute legal, tax, accounting, financial, insurance, transport regulatory, operational or professional advice.

6.2. Users must obtain independent professional advice where required, including for compliance with Pakistani transport, tax, labour, consumer, data protection, licensing and road safety requirements.

7. User Responsibilities

7.1. You must use the Service lawfully, responsibly and only for legitimate business or informational purposes.

7.2. You are responsible for:

the accuracy and legality of all data submitted by you;

obtaining all consents and permissions required to enter or process data;

verifying all outputs before use;

ensuring compliance with applicable laws and regulations in Pakistan;

maintaining confidentiality of account credentials;

all activity performed through your account.

7.3. You must not:

misuse the Service or interfere with its operation;

attempt unauthorized access to the Service or related systems;

upload unlawful, misleading, harmful or infringing content;

use the Service to deceive customers, passengers, partners or regulators;

represent Service outputs as guaranteed, final or binding calculations;

use the Service in a way that may damage the Company or third parties.

8. Availability and Functionality

8.1. The Service is provided on an “as is” and “as available” basis.

8.2. The Company does not guarantee that the Service will be uninterrupted, error-free, secure, compatible with all devices, continuously available or suitable for any particular purpose.

8.3. The Company may at any time, without liability:

modify, suspend or discontinue the Service;

change formulas, interfaces, assumptions or functionality;

restrict access to certain features;

conduct maintenance;

remove or disable accounts or data where necessary for security, legal or operational reasons.

9. Third-Party Services and Data

9.1. The Service may rely on or display data from third-party services, including mapping, geolocation, routing, analytics, hosting or infrastructure providers.

9.2. The Company does not control and is not responsible for third-party services, their availability, accuracy, terms, pricing, data, outages or performance.

9.3. Any third-party names, maps, references or integrations are provided for technical or informational purposes only and do not imply endorsement, partnership or affiliation.

10. No Affiliation with Yango Group

10.1. The Company and the Service are independent.

10.2. The Company is not affiliated with, endorsed by, sponsored by, controlled by, representing or acting on behalf of Yango Group, Yandex, Yango, or any of their affiliates, subsidiaries, shareholders, directors, employees, contractors or representatives.

10.3. Any similarity between the Service and any other transportation, mobility, SaaS or corporate transport product is coincidental or based on general market practices.

10.4. Users must not represent to any third party that the Service is connected with Yango Group, Yandex or Yango.

11. Intellectual Property

11.1. The Service, including its software, design, structure, interface, texts, calculation logic, databases, trademarks, trade names, graphics and other materials, belongs to the Company or its licensors.

11.2. Subject to this Offer, the Company grants you a limited, revocable, non-exclusive, non-transferable right to use the Service for lawful informational purposes.

11.3. You may not copy, reverse engineer, modify, distribute, resell, sublicense, scrape, extract or commercially exploit the Service except as expressly permitted by the Company.

12. User Data

12.1. You may submit company, route, passenger count, stop, pricing, contact and other information into the Service.

12.2. You confirm that you have the right to submit such information and that doing so does not violate any law, contract, confidentiality obligation or third-party right.

12.3. The Company may process submitted data for the purposes of:

providing and improving the Service;

generating calculations and estimates;

maintaining accounts;

ensuring security;

analytics and product development;

legal and compliance purposes.

12.4. The Company will use reasonable efforts to protect User data. However, no online service can guarantee absolute security.

12.5. Where personal data is submitted, the User remains responsible for ensuring that such submission is lawful and that any required notices, permissions or consents have been obtained.

13. Confidentiality

13.1. Users may receive access to non-public information about the Service, including formulas, product logic, interfaces, technical details or business information.

13.2. Users must not disclose, copy or misuse such information except for normal use of the Service.

14. Limitation of Liability

14.1. To the maximum extent permitted by applicable law, the Company shall not be liable for any direct, indirect, incidental, consequential, special, punitive or exemplary damages, including loss of profit, loss of business, loss of data, loss of goodwill, business interruption, regulatory penalties, inaccurate pricing, failed calculations, route errors, service unavailability or reliance on Service outputs.

14.2. The Company shall not be liable for:

inaccurate, incomplete or outdated calculations;

incorrect data entered by Users;

third-party data or API errors;

route, distance or travel time inaccuracies;

decisions made based on Service outputs;

failure of the Service to meet User expectations;

any actual transportation service arranged outside the Service.

14.3. If liability cannot be excluded under applicable law, the Company’s total aggregate liability shall be limited to PKR 1,000 or the minimum amount permitted by applicable law, whichever is lower.

15. Indemnity

15.1. You agree to indemnify and hold harmless the Company, its officers, employees, contractors and affiliates from any claims, losses, liabilities, damages, penalties, costs or expenses arising out of:

your use of the Service;

your reliance on Service outputs;

inaccurate or unlawful data submitted by you;

your breach of this Offer;

your violation of applicable law;

disputes between you and your customers, passengers, drivers, transport providers or other third parties.

16. Suspension and Termination

16.1. The Company may suspend or terminate your access to the Service at any time if:

you breach this Offer;

your use creates legal, security, reputational or operational risk;

required by law or competent authority;

the Service is discontinued or materially changed.

16.2. You may stop using the Service at any time.

16.3. Sections intended to survive termination shall remain effective, including intellectual property, disclaimers, limitation of liability, indemnity, governing law and dispute resolution.

17. Changes to this Offer

17.1. The Company may amend this Offer at any time by publishing an updated version on the Service or website.

17.2. Continued use of the Service after publication of updated terms constitutes acceptance of the updated Offer.

17.3. The effective date of the current version will be stated at the top of this Offer.

18. Communications

18.1. The Company may communicate with Users through the Service, email, website notices or other electronic means.

18.2. Notices to the Company must be sent to: [legal/contact email].

19. Governing Law and Dispute Resolution

19.1. This Offer shall be governed by and interpreted in accordance with the laws of Pakistan.

19.2. The parties shall first attempt to resolve any dispute through good-faith negotiations.

19.3. If the dispute is not resolved within 30 calendar days, it shall be submitted to the competent courts of [Karachi / Lahore / Islamabad], Pakistan, unless mandatory applicable law provides otherwise.

20. Miscellaneous

20.1. If any provision of this Offer is found invalid or unenforceable, the remaining provisions shall continue in full force.

20.2. The Company’s failure to enforce any provision shall not constitute a waiver of its rights.

20.3. You may not assign or transfer your rights or obligations under this Offer without the Company’s prior written consent.

20.4. This Offer constitutes the entire agreement between the User and the Company regarding use of the Service.
